How is BIDPO Organized?

Beth Israel Deaconess Physician Organization is an independent, limited liability company organized under the laws of the Commonwealth of Massachusetts. The LLC has two corporate members: Harvard Medical Faculty Physicians (HMFP) and Affiliated Physicians, Inc. (API). We have an Operating Agreement (by-laws) that outlines specifically how we operate and how we are governed. As an LLC, BIDPO is a for-profit, taxable organization. BIDPO, LLC is also licensed to do business in New Hampshire.

The architects of BIDPO intentionally created, first in 1993, an organization that would be governed completely by physicians. Initially, we were incorporated as BIH Physicians, Inc. In mid-1996, the Board voted to create a more robust, independent provider organization. By November 1996, the organization became Beth Israel Deaconess Physician Organization, Inc.

In 1998 the Board voted to establish BIDPO as a Limited Liability Company to provide greater independence as well as flexibility and control over the management of the organization. Initially, BIDPO was comprised only of physicians whose primary hospital affiliation was with BIDMC. In 2005, the Board of Managers amended this requirement to include physicians and groups who are highly clinically aligned within BIDPO and use BIDPO specialists and BIDMC for the tertiary and quaternary care of their patients, although their primary hospital affiliation may be in communities outside of Boston/ Brookline.
